Issuer: Independent System & Market Operator of Pakistan (Guarantee) Limited (ISMO). ISMO invites applications from dynamic, qualified and experienced professionals on a contract basis for two senior positions: Company Secretary and Chief Internal Auditor.

Position	Key Responsibilities (summary)	Eligibility & Experience (summary)
Company Secretary	Ensure compliance with the Companies Act, 2017, SECP regulations, corporate laws and governance frameworks. Act as Secretary to the Board and its Committees; prepare agendas, minutes and follow-up on decisions. Maintain statutory books, registers and corporate records; timely filing of statutory returns with SECP and other regulators. Advise Board and management on corporate governance, regulatory and procedural/legal matters. Ensure implementation of corporate governance codes and coordinate between Board, management, shareholders and regulators.	Member of a recognized body of professional accountants; or member of a recognized body of corporate/chartered secretaries; or a master’s degree in business, finance, commerce or law from an HEC-recognized university. Minimum 20 years post-qualification relevant experience, including at least 5 years in senior management or executive-level roles with expertise in corporate governance, regulatory compliance and board affairs. Must meet Fit & Proper criteria as defined under Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
Chief Internal Auditor	Evaluate accounting, financial, credit and operational activities as an independent appraisal function. Review soundness and adequacy of accounting, financial and operational controls; formulate internal audit programs covering all financial transactions. Develop and lead an effective internal audit team; liaise with external and commercial auditors. Coordinate with the Audit Committee and Board on special audits, investigations and compliance effectiveness.	Member of a recognized professional accounting body (CA/CPA/ACMA/ACCA) or MBA (Finance) from a reputed local or international university/institute. Minimum 20 years post-qualification relevant experience including at least 5 years in senior management or executive-level roles, with demonstrated expertise in auditing, risk management, internal control design and public/private sector financial compliance—experience in SOEs or public-sector projects preferred. Must meet Fit & Proper criteria as defined under Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
